In using our Platform, Portals, Websites and Systems, or attending FEVAA Events - TRADE SHOW via virtual or physical in Afru-ika Atlas, the Karibbean and the Amerikas you authorize us to publicly display on our Websites, Platforms, Dashboards, Social Media and in email communications any information that you have submitted to us.

To assist companies, funds and any other entity raise money at FEVAA EVENTS - TRADE SHOW, members complete our preliminary FUNDERS REQUEST APPLICATION on our website accessible to our MAGIK INVESTORS DIRECTORY. OUR FUNDERS REQUEST is a preliminary application for our investors. If an investor is interested further inquiry will be furnished from the investor to the business member. By making a submission on one of our websites, platforms or dashboards you agree to be included, in our sole discretion, into our MAGIK INVESTOR DIRECTORY created by us and you recognise that:

Your sole relationship with regard to your submission of the FUNDERS REQUEST is with THE MOTHERLAND COMMERCE

The FUNDERS REQUEST will be accessible to all delegates attending FEVAA EVENTS - TRADE SHOW, and may be accessible to others (in THE MOTHERLAND COMMERCE sole judgment) who are not attending FEVAA EVENTS - TRADE SHOW. You can review, update, or remove the information you included in your MEMBER PROFILE, Portal or Site profile by logging into the Platform or Portal or Site, and making changes. You may also request access to, correct or delete any personal information that you have provided to us or opt out of maintaining your profile on the Site. You may also cancel your membership at any time from your SUBSCRIPTION PAGE.

10. Protection of Your Information
In order to protect your personal information, THE MOTHERLAND COMMERCE has put in place what THE MOTHERLAND COMMERCE believes to be reasonable physical, electronic and managerial procedures to safeguard and secure your personal data. Use of any of our Platform, Sites or Portals is subject to the law of Trinidad and Tobago, and the jurisdiction of the Trinidad and Tobago courts. Any communication with the Platform, Portal or Sites shall be deemed to have taken place in Trinidad and Tobago, irrespective of where the actual user may be physically located.

In no event shall the liability of The MOTHERLAND COMMERCE exceed, in the aggregate for all claims, $1000 ttd. This limitation of liability is part of the basis of the bargain between you and The MOTHERLAND COMMERCE and shall apply to all claims of liability (e.g., warranty, tort, negligence, contract, law) and even if The MOTHERLAND COMMERCE has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.
1. Your acceptance of the Agreement, whether in writing or by conduct, signifies agreement with, and acceptance of, these Conditions in their entirety. The words contained in these Conditions will have the same definition and/or interpretation as those contained in the Agreement. All prices are exclusive of The Motherland Commerce (MC).
2. Behaviour and Program:
2.1 Behaviour- The Motherland Commerce (MC) reserves the right to prohibit and eject any persons attending their events based on behaviour deemed to be inappropriate by The Motherland Commerce (MC) staff and/or its agents and others working under its authority.
2.2 Program - The Motherland Commerce (MC) reserves the right to change the program at any time. Every effort will be made to ensure a program of equivalent standard will be provided.
3. You agree that the act of sponsoring an event is for the purpose of, not only promoting your business, but also enhancing the reputation and legitimacy of The Motherland Commerce (MC) and furthering the aims and mission of The Motherland Commerce (MC). Therefore, if at any time the committee of The Motherland Commerce (MC) forms the view, in its absolute discretion, that the sponsorship arrangement will be detrimental to the reputation of The Motherland Commerce (MC), or detrimental to its aims and mission, then The Motherland Commerce (MC) may elect to terminate the sponsorship agreement. Should the agreement be terminated after any money has been paid to The Motherland Commerce (MC) under this agreement, the sponsor will be entitled to a refund of the amount paid less any reasonable expenses incurred by The Motherland Commerce (MC) in the course of arranging the event.
4. Canvassing by delegates is strictly prohibited at any Motherland Commerce (MC) events and forums. Promotional material may not be distributed at any event/forum except by event sponsors. Delegates violating this policy will be asked to leave the event and The Motherland Commerce (MC) members may have their membership terminated. The exception to this is only when agreed upon under the negotiated sponsorship package and will be outlined in the full agreement. The Host shall discharge its obligations in connection with this Agreement (including, but not limited to, performance of the Activities) to the standard of a competent professional and always in accordance with all applicable laws and regulations.
5. The Host shall provide (or procure the provision of) such assistance as is reasonably required by the Sponsor to enable it to comply with any request or requirement of The Motherland Commerce (MC) or any other regulatory authority, relating to this Agreement, to which the Sponsor is subject.
6. Image Release: In registering for The Motherland Commerce (MC) events delegates grant permission to The Motherland Commerce (MC) its agents and others working under its authority to take and to have full free use of videos/photographs containing their image/likeness. It is understood that these images may be used for promotional, news, online/multi media, research and/or educational purposes by and for The Motherland Commerce (MC). Delegates agree that they are not entitles to remuneration, residuals, royalties or any payment from The Motherland Commerce (MC) in respect of their image/likeness or its use.
7. Invoices: When you complete and sign your copy of the sponsorship agreement form, you will be issued with a tax invoice in compliance with MC requirements. This can be used to make payment by electronic funds transfer or credit card (via PayPal). Payment terms are strictly 7 days unless alternative arrangements are made in writing between the user and The Motherland Commerce (MC).
8. Privacy Notice: The Motherland Commerce (MC) is concerned with the protection of your privacy and the privacy of our members. We support the privacy principles contained in the Privacy Act (Privacy Act). Soliciting or contacting The Motherland Commerce (MC) members without prior written/verbal consent is prohibited. Our complete privacy agreement can be found at the conclusion of this document.
9. Communication from The Motherland Commerce (MC): The Motherland Commerce (MC) may use your details to promote an upcoming sponsored event in the form of email communications and/or other types of communication. If there is any specific information that needs to be shared with The Motherland Commerce (MC) members in relation to your sponsored event please ensure we have this via email ASAP to email: success@motherlandcommerce.com
10. For the purposes of the event: Your details will be provided to parties directly related to the event including the registration manager, venues and accommodation providers for the purpose of room bookings, catering needs and other conference options.
11. Insurances: for the purposes of your sponsored event, The Motherland Commerce (MC) will require a paid in full payment to the value of the said contract agreement. The Motherland Commerce (MC) take no responsibility for any injury or accident sustained during a sponsored event.
12. If the sponsor does not utilise the benefits of this agreement during its validity period, Motherland Commerce (MC) is not liable to provide any extension of the benefits unless agreed in writing with both parties.
13. Trademarks/Logos Trademarks appearing on this website are trademarks of The Motherland Commerce (MC) and may not be copied, downloaded, reproduced, modified or distributed in any way or used as mete-tags for another website or to attract users to any other websites by any other means.
14 Liability: The Parties’ maximum aggregate liability to each other under this Agreement shall be limited in contract, by way of indemnity, tort (including negligence) or otherwise, however arising, to an amount equal to the Sponsorship Fee under this Agreement. The Host shall under no circumstances be liable for any:-
A) loss of income; loss of profit; loss of customers; loss of opportunity or damage to the Sponsor’s reputation; and/or
B) indirect; special; incidental; or consequential loss or damage, whatsoever and howsoever such loss, damage or delay was caused, whether from contract, breach of statutory duty, by indemnity, tort (including negligence) or otherwise.
Nothing in this Agreement shall exclude either party’s liability for death and personal injury; fraud; and any other liability that cannot be excluded by law.
15. The rights and remedies provided under the Agreement are in addition to, and not exclusive of, any rights or remedies provided by law.
16. The Agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, contract, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
17. Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Agreement.
18. Notices:
18.1 Any notice given to a party under or in connection with the Agreement shall be in writing and shall be sent by e-mail to success@motherlandcommerce.com.
18.2. This Clause 16 does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution which must be addressed to the Legal Director, Laws of Trinidad and Tobago. 19. Governing and Arbitration:
19.1 The Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of Trinidad and Tobago.
19.2 Each party irrevocably agrees that the courts of Trinidad and Tobago shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the Agreement or its subject matter or formation (including non-contractual disputes or claims).
20. Privacy Notice – Motherland Commerce (MC) We protect client information securely and per privacy principles. This policy letter makes clear the way that The Motherland Commerce (MC) handles data and information on behalf of our marketing clients. 1. The Motherland Commerce (MC) subscribes to all National Privacy laws of Trinidad and Tobago. 2. We do not sell or share client information with any party unless a negotiated agreement is in place. 3. We will not make cold calls to individuals who have not opted in to one of our clients programs through personal contact, website or other collection means. We expect our clients to take responsibility for their own databases and we will ask them for evidence that they have received an opt in from a recognised method. 4. We do not use lists that have been phished or scoured from yellow pages or other online methods, and only purchased approved lists from professional list broking firms. 5. All client data is stored in a secure online cloud based program and is only available to through password protected areas. 6. We do not share or sell data collected from our own website. Our policy is to remain compliant with changing legislation as it occurs.
Disclaimer The Motherland Commerce (MC), its employees, representatives and associates provide the information and general information. The user accepts sole responsibility and all arise for using the information. The Motherland Commerce (MC) does not accept any liability for any loss or damage whatsoever which may arise as a result of the event being held on any of the premises we hold an event.

The following Terms and Conditions of Service apply to all products and services provided by THE MOTHERLAND COMMERCE and in the event of any dispute. All work is carried out by THE MOTHERLAND COMMERCE on the understanding that the client has agreed to our terms and conditions.
Copyright is retained by THE MOTHERLAND COMMERCE on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled. If a choice of designs is presented and one is chosen for your project, only that solution is deemed to be given by us as fulfilling the contract. All other designs remain the property of THE MOTHERLAND COMMERCE, unless specifically agreed in writing.
Project Acceptance
At the time of proposal, THE MOTHERLAND COMMERCE can provide the customer with a written SCOPE OF WORK estimate or quotation by email. These Terms and Conditions below can be read at any time on the THE MOTHERLAND COMMERCE website. The client is required to send an official purchase order obtained from https://www.motherlandcommerce.com/promotion-request in reply to the estimate or quotation which binds the client to accept our terms and conditions. All client images and materials must be uploaded on THE MOTHERLAND COMMERCE promotion request site provided above.
Design Charge
Charges for design services to be provided by THE MOTHERLAND COMMERCE will be set out in the written SCOPE OF WORK estimate or quotation that is provided to the customer. At the time of the customer’s signed acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 100% of the quoted fee will become immediately due.
Unless agreed otherwise with the Client, all design services require an advance payment of a minimum of fifty (50) percent of the project quotation total before the work commences or is supplied to the Client for review. The remaining fifty (50) percent of the project quotation total will be due upon completion of the work prior to upload to the server or release of materials.
Source Files
We will supply proofs and PSD files as appropriate for printing, or other graphic files as detailed in the job scope or request. Charges for design work do not cover the release of our copyright design source files, including but not restricted to indd, psd, AI, png, fla or other source files or raw code; if the Client requires these files for transfer to an in-house or other designer, they will be subject to a separate quotation or ‘buy-out’ charge.
Charges for Other Services
Charges for any additional services requested during the project that are over and above the estimated time or out of scope, will become fully payable (100% of the quoted amount) at the time of estimate or quotation acceptance.
Payment
Payments may be made by online transfer, PayPal, credit card (Visa, MasterCard) or Debit Card. Payments made by wire cheque must be previously agreed and may be subject to an administration charge. Cheques should be wired only and will incur an additional fee per bank. THE MOTHERLAND COMMERCE reserves the right to consider an account to be in default in the event of a returned wire cheque.
Default
An account shall be considered default if it remains unpaid for 30 days from the date of invoice, or following a returned wired cheque. THE MOTHERLAND COMMERCE shall be entitled to remove THE MOTHERLAND COMMERCE‘s and/or the customer’s material from any and all computer systems, until the amount due has been fully paid. This includes any and all unpaid monies due for services, including, but not limited to, hosting, domain registration, search engine submission, design and maintenance, sub-contractors, printers, photographers and libraries.
Removal of such materials does not relieve the customer of its obligation to pay the due amount. Customers whose accounts become default agree to pay all THE MOTHERLAND COMMERCE‘s reasonable legal and accounting expenses and third party collection agency fees in the enforcement of the debt and these Terms and Conditions.
Copyrights and Trademarks
By supplying text, images and other data to THE MOTHERLAND COMMERCE for inclusion in the customer’s website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.
Any software, code, plugin or other third party material used in a web or digital project remains the property of the creator and any ongoing license fees or fees for upgrades are the responsibility of the client, not THE MOTHERLAND COMMERCE. By supplying images, text, or any other data to THE MOTHERLAND COMMERCE, the customer grants THE MOTHERLAND COMMERCE permission to use this material freely in the pursuit of the design. The customer agrees to fully indemnify and hold THE MOTHERLAND COMMERCE free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permission.

Alterations
The customer agrees that changes required over and above the estimated work, or in addition to the agreed scope, or where the client makes changes to the supplied copy or changes required to be carried out after acceptance of the draft design, will be liable to a separate charge. The customer also agrees that THE MOTHERLAND COMMERCE holds no responsibility for any amendments made by any third party, before or after a design is published.

Licensing
Any design, copywriting, drawing, idea or code created for the customer by THE MOTHERLAND COMMERCE, or any of its contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of THE MOTHERLAND COMMERCE and any of its relevant sub-contractors.
All design work – where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use.
THE MOTHERLAND COMMERCE will not be held responsible for any and all damages resulting from such claims. THE MOTHERLAND COMMERCE is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold THE MOTHERLAND COMMERCE responsible for any such loss or damage. Any claim against THE MOTHERLAND COMMERCE shall be limited to the relevant fee(s) paid by the customer.
Data Formats
The client agrees to THE MOTHERLAND COMMERCE’s definition of acceptable means of supplying data to the company. Text is to be supplied to THE MOTHERLAND COMMERCE in electronic format as standard text (.txt), MS Word (.docx) on CD, or via e-mail / FTP or shared folder. Images which are supplied in an electronic format are to be provided in a format as prescribed by THE MOTHERLAND COMMERCE via CD-ROM, or e-mail / FTP. Images must be of a quality suitable for use without any subsequent image processing, and THE MOTHERLAND COMMERCE will not be held responsible for any image quality which the client later deems to be unacceptable.
THE MOTHERLAND COMMERCE cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services, color correction and alteration of images

Design Project Duration
Any indication given by THE MOTHERLAND COMMERCE of a design project’s duration is to be considered by the customer to be an estimation. THE MOTHERLAND COMMERCE cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by THE MOTHERLAND COMMERCE for the initial payment or by date confirmed in writing by THE MOTHERLAND COMMERCE.
Rights of Access for Website Construction
The client agrees to allow THE MOTHERLAND COMMERCE all necessary access to computer systems and other locations, as required, in order to complete a website project and until all due funds are cleared, including the necessary read/write permissions, usernames and passwords.
The customer also agrees to allow THE MOTHERLAND COMMERCE access to any computer systems, usernames and passwords required to remove data and/or sites for failure to comply with these Terms and Conditions. The customer agrees to supply THE MOTHERLAND COMMERCE with all necessary materials, electronic, or otherwise, required to create and complete the project, and to supply them in a timely manner.
Website design (CODING)
THE MOTHERLAND COMMERCE requires that a template is approved by the customer before coding of a site commences. Once the template(s) for the web site are approved by the customer, coding will commence; clients will have 3x times for feedback review period at no extra cost directly on the site before publishing. Any changes to navigation items, colors, structure or content that requires changes will incur an additional charge once the site is FINAL launched/published.

Design Credits
The customer agrees to allow THE MOTHERLAND COMMERCE and its design partner to place a small credit on printed material exhibition displays, advertisements and/or a link to THE MOTHERLAND COMMERCE and or our Marketing & Branding partner's own website on the customer’s website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page.
The customer also agrees to allow THE MOTHERLAND COMMERCE to place websites and other designs, along with a link to the client’s site on THE MOTHERLAND COMMERCE’s own website for demonstration purposes and to use any designs in its own publicity and portfolios.
Rights of Refusal
THE MOTHERLAND COMMERCE will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. THE MOTHERLAND COMMERCE also reserves the right to refuse to include submitted material without giving reason. In the situation where any images and/or data that THE MOTHERLAND COMMERCE does include in all good faith, and subsequently discovers is in contravention to such Terms and Conditions, the customer is obliged to allow THE MOTHERLAND COMMERCE to remove the contravention without hindrance, or penalty. THE MOTHERLAND COMMERCE is to be held in no way responsible for any such data being included.
Cancellation
In case of no response from the customer/clients end more than 7 days period past, the project will be canceled without any notice or intimation to the client or customer and no amount will be refunded.
Domain and Hosting
We provide notification at least 30 days prior to the expiration of your domain. Upon expiration, we retain your website data for a period of 30 days before initiating its complete deletion. Should you wish to retain or reuse your data after this period, additional charges may apply. Please note that after the domain has expired, there may be additional charges imposed by the domain service provider if you choose to reclaim the domain.
General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. THE MOTHERLAND COMMERCE reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
Acceptance of Terms and Conditions and Quotation
The placement of an order for design and/or any other services offered by THE MOTHERLAND COMMERCE, by email, verbally or in writing, is deemed to be acceptance of these terms and conditions, which are freely available at https://www.motherlandcommerce.com/terms-and-agreement
An estimate validated by the customer’s signature on the estimate or SCOPE OF WORK quotation form, or by email, constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and THE MOTHERLAND COMMERCE or our Marketing and Branding Partner.
